1.

LUMIX PRO Services and Membership

1.1
These terms and conditions apply to Your registration to LUMIX PRO Services (the "LUMIX PRO") and LUMIX PRO membership (“LUMIX PRO Membership”) and use of any benefits as set out herein provided by Panasonic UK, with its registered office at Maxis 2, Western Road, Bracknell, Berkshire, RG12 1RT, United Kingdom, a branch of Panasonic Marketing Europe GmbH, Hagenauer Str. 43, 65203 Wiesbaden, Germany, registered at the local court of Wiesbaden, HRB: 13 178, ("Panasonic"), in the United Kingdom.

1.2
These terms and conditions, (the "Terms"), may be amended from time to time in accordance with the provisions of Clause 15. The Terms form part of the agreement between Panasonic and the customer (the "User") and apply to anyone registering for LUMIX PRO Membership. You may acknowledge the current Terms periodically by visiting Your LUMIX PRO account on-line or by requesting a copy of the current Terms from the LUMIX PRO admin team.
1.3
By using the LUMIX PRO and LUMIX PRO Membership, the User accepts the Terms.
1.4
The LUMIX PRO services provided at respective LUMIX PRO Membership Levels are described in Section 3 below and at the LUMIX PRO website (“Website”). The LUMIX PRO services are only provided upon registration on the Website in accordance with the Terms.
2.

Definitions

2.1
“You”, “Your” and “Customer” or “User” means the member or purchaser of the LUMIX PRO Services and Your LUMIX PRO Membership.
2.2
“We”, “Us”, “Our” and “Panasonic” means Panasonic UK, a branch of Panasonic Marketing Europe GmbH.
2.3
“LUMIX” means a range of camera bodies and lenses that are distributed by Panasonic.
2.4
“Qualifying Equipment” means individual product items from the range of products which qualify for LUMIX PRO Membership as defined by Panasonic and which were registered by the User.
2.5
“Membership Period” means the period from initial registration until expiry or termination.
2.6
“LUMIX PRO Service” or “LUMIX PRO” means the level of service provided as part of the Red, Silver, Gold, Platinum levels of LUMIX PRO Membership, as per the Terms and relevant to Your country of residence.
2.7
“LUMIX PRO” means the over-arching programme of activity, which consists of the registration platform from which LUMIX PRO Service or LUMIX PRO are available.
2.8
“LUMIX PRO Hotline” or “Hotline” means the services as described in Clause 8 below.
2.9
“Pick-up and Return Service” means the services as described in Clause 9 below.
2.10
“Target Turnaround Times” means the time it takes for a repair to occur once it has been. booked into the Service facility as described in Clause 6.
2.11
“Maintenance Service” means the services described in Clauses 7 and 10 below.
2.12
“Lens Calibration” means the services described in Clause 9 below.
2.13
“Firmware Update” means the services described in Clause 10 below.
2.14
“Territory” means Japan, United States, Canada, Austria, Belgium, France, Germany, Italy, Spain, Sweden and United Kingdom.
2.15
“Home Territory” means the Territory in which the member registered mailing address appears within their individual profile.
2.16
“Visited Territory” means the Territory in which the member is visiting for a period outside of their “Home Territory” that offers the LUMIX PRO programme.
2.17
“Working Day” means Monday to Friday 9am until 5pm excluding weekends, bank, public and statutory holidays.
3.

What is LUMIX PRO Membership?

3.1
LUMIX PRO Membership provides You, as an owner of professional LUMIX equipment, with benefits such as improved turnaround times on repair and Annual Health check services provided by Panasonic's own specialist repair centres or service facilities that have been authorised by Panasonic to provide LUMIX PRO Services, access to loan and evaluation equipment, additional and exclusive information about LUMIX products and services, invitation to members' events, and direct access to LUMIX representation at major Panasonic marketing events.
3.2
LUMIX PRO Membership offers different scope of services to the Users depending on their LUMIX PRO Membership Level, region and country of residence.
3.3
LUMIX PRO repair and loan of back-up equipment (as defined in the Clause 6 of these Terms) benefits are provided to the residents of the countries as set out in Clause 6.
3.4

4.

Conclusion of contract for LUMIX PRO Membership in the United Kingdom

4.1
LUMIX PRO Membership is available to end users, consumer and business professionals who have their place of residence or place of business in the United Kingdom, who are over the age of 18 who own and register Qualifying Equipment on the Website. The current list of the Qualifying Equipment is listed in Clause 5 below and can be found at https://lumixpro.panasonic.com/uk/.
4.2
There are currently four (4) levels of LUMIX PRO Membership (“LUMIX PRO Membership Levels”) available that are open to the public.
Panasonic offers the following types of LUMIX PRO Membership Levels:
a) Red
b) Silver
c) Gold
d) Platinum
4.3
Your LUMIX PRO Membership Level depends solely on the Qualifying Equipment owned and registered by You. The LUMIX PRO Red Membership Level is free of charge. For Silver, Gold and Platinum Membership Levels a fee for the respective Membership Level has to be paid.
4.4
The presentation of the LUMIX PRO on our LUMIX PRO Website does not constitute a legally binding offer, but merely an invitation to place orders (invitation to treat).
Registration for LUMIX PRO Membership is easy: simply register Your details and the Qualifying Equipment You own on-line through https://lumixpro.panasonic.com/uk/.
4.5
If You are a new customer: To be able to place an order for the LUMIX PRO Membership start by creating an account by entering Your personal data and clicking on the button “Next”. You will get to a Webpage where You may enter Your Qualifying Equipment. You may review and modify Your personal data and the amount and kind of Qualifying Equipment at any time during the registration process on the Webpage. Your LUMIX PRO Membership Level will be automatically allocated depending on Your registered Qualifying Equipment. An overview of Your input will open up on the overview page. To correct input errors click “Edit“ next to the respective field. To cancel the account creating process, You can simply close Your browser window. By clicking the confirmation button “Confirm“ in the last step of the account creating process, You submit an offer to create Your account and to conclude a contract for the Red LUMIX PRO Membership Level.
4.6
You will receive a confirmation via email with a double opt-in option. By following the double opt in link. You will complete Your account registration and receive a confirmation email for successful creation of Your account and acceptance of Your offer to conclude a contract for Red Membership Level including these Terms and our Privacy Policy. If You choose not to select the double opt in, all of Your data which You registered on the Webpage will be deleted after 48 hours.
4.7
After successful creation of Your account, and if Your allocated LUMIX PRO Membership Level is Silver, Gold or Platinum, You will receive a second email with the payment link for LUMIX PRO Membership Level allocated to You, which expires 96 hours from being sent. By clicking on the payment link and competing the payment before expiry of the payment link, You submit a binding offer for a contract between You and Us for the Silver, Gold or Platinum LUMIX PRO Membership Level.
4.8
A contract for the respective LUMIX PRO Membership Level comes into existence between You and Us as soon as We accept Your order and Your payment by means of a separate email. Please regularly check the spam folder of Your mailbox. Your LUMIX PRO Membership will start with the receipt of the acceptance email.
4.9
If you fail to proceed with the payment within the date indicated in the first payment email, You will be sent a reminder email and will be able to make Your payment until the date specified in the reminder email has expired. If You don’t execute the payment before the expiry of the payment link in the reminder email, You will be automatically allocated to the Red LUMIX PRO Membership Level and a contract for this LUMIX PRO Membership Level will come into existence. You will be informed about it via a separate email
4.10
If You are an existing Customer and are already registered for a certain LUMIX PRO Membership Level: Shortly before the expiry of Your current Silver, Gold or Platinum LUMIX PRO Membership contract or if Your LUMIX PRO Membership Level automatically upgrades after You registered further Qualifying Equipment, You will receive an email with a payment link for Your allocated Silver, Gold or Platinum LUMIX PRO Membership Level. In order to place an order for Your allocated Silver, Gold or Platinum LUMIX PRO Membership Level please proceed with the payment of the fees for Your allocated LUMIX PRO Membership Level. The contract for Your allocated LUMIX PRO Membership Level will come into effect between You and Us upon acceptance of Your payment by means of a confirmation email from Us. If You choose not to proceed with the payment Your current Silver, Gold or Platinum LUMIX PRO Membership Level will automatically be downgraded to the Red Membership Level upon expiry of Your current LUMIX PRO Membership Period and a contract for this LUMIX PRO Membership Level will come into existence.
4.11
You will receive the contractual provisions together with information on Your LUMIX PRO Membership Level including these Terms and the information on Your right of withdrawal by email upon acceptance of the contract offer. We do not store the contractual provisions for You.
4.12
Panasonic reserves the right to refuse the order for the LUMIX PRO Membership without providing any notice to You.
4.13
You may only claim benefits of the LUMIX PRO Membership Level which was allocated to You upon registration of Your LUMIX PRO Membership Level.
4.14
Upon acceptance as a LUMIX PRO Silver, Gold, Platinum Membership You will be issued with a membership card (“Card”) and a set of LUMIX PRO identification stickers which will be sent to Your registered permanent address. If Your LUMIX PRO Membership Level changes upon renewal of the Membership Period a new card will be issued to You.
4.15
Your LUMIX PRO Card contains Your LUMIX PRO Membership account number which you will need to quote when requesting any of the LUMIX PRO benefits such as booking a repair or service.
4.16
Your LUMIX PRO Membership Card remains the property of Panasonic. Only You may use the Card and You must return it to Us on request. You must inform Us should Your LUMIX PRO membership Card become lost or stolen at panasonic@promotion-support.com.
4.17
LUMIX PRO Identification stickers distributed as part of the Welcome pack indicate the number of service packages that You are entitled to as per Your LUMIX PRO Membership Level for that Membership Period. The maximum total number of individual items must not be exceeded during Your Membership Period.
4.18
Your LUMIX PRO Membership account must be held in your own name and should be registered to Your permanent address. You will be responsible for registering and updating the correct and accurate information for membership communications.
4.19
You must ensure that Your LUMIX PRO Membership profile is updated with any changes to Your personal information through the LUMIX PRO account at https://lumixpro.panasonic.com/uk/. LUMIX PRO and LUMIX PRO Membership Levels are not transferrable. LUMIX PRO is only offered on registered Qualifying Equipment. Non-registered items will be treated as standard non-LUMIX PRO items.
4.20
You will be able to claim LUMIX PRO benefits under your LUMIX PRO Membership Level starting the 15th day after conclusion of the respective LUMIX PRO Membership contract.
5.

LUMIX PRO Membership Level

5.1
Your LUMIX PRO Membership Level depends on the Qualifying Equipment You own and register. The minimum status level and quantity of Qualifying Equipment required for LUMIX PRO Membership Level are set out in this Clause 5.

5.4
A User who registers cameras listed in this section alongside other Qualifying Equipment will have all of their equipment qualify for the level specified within this section and will receive all benefits associated to that level.

5.6
All Qualifying Equipment requires a valid serial number.
5.7
The list of Qualifying Equipment and associated LUMIX PRO Membership Level of that Qualifying Equipment will may be amended from time to time. Panasonic reserves the right to change both the LUMIX PRO Membership requirements and requirements for LUMIX PRO Membership Level at any time with prior notice to the User according to the terms in Clause 15. You may periodically review the list of Qualifying Equipment and LUMIX PRO Membership Levels.
5.8
In the event that Panasonic changes the list of Qualifying Equipment per LUMIX PRO Membership Level during the course of a Membership Period, the new Qualifying Equipment list will only apply to new registrations or Membership Period renewals made after the publication date of such changes.
5.9
The Qualifying Equipment list published at the date of registration will be valid for that Membership Period and the list published at the date of renewal will be valid for the following year's Membership Period.
5.10
Should You remove Qualifying Equipment from your LUMIX PRO Membership account during Your Membership Period which means You would not meet the qualifying criteria of that LUMIX PRO Membership Level, the LUMIX PRO Membership Level that was allocated at the start of the Membership Period shall be retained for the remainder of the current Membership Period and the new LUMIX PRO Membership Level will only be allocated to You at the renewal of Your LUMIX PRO Membership.
5.11
The LUMIX PRO Membership Level shall reset at the end of the Silver, Gold or Platinum Membership Level Period and at the start of a new Membership Period a new audit of Qualifying Equipment shall take place so that the LUMIX PRO Membership Level for the Qualifying Equipment registered at the time of renewal is allocated for the new Membership Period.
5.12
If the User adds new Qualifying Equipment to its Silver, Gold or Platinum LUMIX PRO Membership Level account during the Membership Period then the LUMIX PRO Membership Level, will, if applicable, be retained for the remainder of the current Membership Period and only be upgraded to the relevant new LUMIX PRO Membership Level at the renewal of the Membership Period. In case of Red LUMIX PRO Membership Level, the User will be able to conclude a contract for the upgraded LUMIX PRO Membership Level upon registration of new Qualifying Equipment.
5.13
For Users who are resident in the EEA, products imported from outside the EEA or products which are counterfeit or infringe the intellectual property rights of the Panasonic and its affiliated companies in the sense of applicable law (“Panasonic Affiliates”) in any way will not be eligible for these LUMIX PRO. For the avoidance of doubt, this shall mean that these products will not be eligible for registration and LUMIX PRO Membership. Full warranty exceptions provided for in the relevant warranty remain in full effect.
6.

LUMIX PRO Membership – Repair and Back-up loan benefit

6.1
This clause is ONLY applicable to LUMIX PRO membership in the following participating countries: those which are labelled as “Available” in the table in Annex 1.
6.2
The following repair and loan of back-up Qualifying Equipment benefits are only available in the countries listed above.
6.3
LUMIX PRO Member benefits according to LUMIX PRO Membership Level as follows:

6.4
Target Turnaround Times will only apply to a maximum of three (3) products being serviced at any given time for each individual User.
6.5
Target Turnaround Times will apply to camera body warranty and non-warranty repairs.
6.6
Target Turnaround Times are not guaranteed. However, both Panasonic and the authorised repair facilities to provide LUMIX PRO, will endeavour to meet the target times listed above.
6.7
Target Turnaround Times are based on working days (Monday to Friday not including public holidays in the relevant country) and will be deemed to start the working day after receipt of the product by the repair facility and ends on the day the product is ready to leave the repair facility. It does not include time spent in shipment nor any time spent awaiting any customer information necessary to complete the repair, such as missing documentation or acceptance of estimated cost of repair for out of warranty repairs for example.
6.8
Target Turnaround Times are not applicable for membership repairs in any of the following territories: French Overseas Territories; the Canary Islands; Ceuta; Gibraltar, Isle of Man, Scilly Isles, Scottish Highlands and Islands.
6.9
Where applicable and subject to LUMIX PRO Membership Level and availability of loan equipment, a loan of back-up equipment will be offered in the event that Target Turnaround Time cannot be met and will be offered strictly subject to Panasonic's standard Terms of Loan which You will be deemed to have accepted if You accept or request a loan through Your LUMIX PRO Membership.
6.10
Target Turnaround Times and Loan of Back-Up Equipment are only applicable on repairs duly authorised for repair under LUMIX PRO membership and identified as such as set out in Clause 7 below.
6.11
Loan equipment is provided to LUMIX PRO members subject to availability. Panasonic will make best efforts to supply loan equipment of the same or equivalent model however if these are not available then a compatible or equivalent model will be offered. If two loan requests are submitted at the same time then priority then the higher level will receive the equipment as a priority.
6.12
For out-of-warranty repairs, You are responsible for paying all applicable costs associated with servicing or repair of the equipment including (but not limited to) delivery costs and any applicable taxes, fees and levies as may be required in the country where the equipment is submitted for repair.
6.13
All benefits are subject to availability and to change and may be withdrawn or altered at any time at the absolute discretion of Panasonic. Without limitation, Panasonic reserves the right to make exclusions or exceptions to the availability of benefits. Local variations to the published membership benefits may also apply.
6.14
All repairs provided under this scheme are subject to Panasonic's general Terms & Conditions of repair and that of any authorised repair facility providing such services.
6.15
The repair and loan of back-up equipment benefits detailed in this Clause 6 above are not currently available in the countries listed as NOT AVAILABLE in Annex 1.
6.16
In accordance with clause 6.15, LUMIX PRO Users in these countries are not currently entitled to any LUMIX PRO repair or loan of back-up equipment. However, if a LUMIX PRO member from any of these countries visits a country in which LUMIX PRO operates repair benefits identified in Clause 6.1, they may be entitled to have their Qualifying Equipment repaired in the applicable turnaround time according to their LUMIX PRO Membership Level (Platinum ONLY). Any such repair will be at the discretion service facility and subject to capacity. For the avoidance of any doubt, there is currently no loan back-up equipment benefit available to a member from any of the countries listed as NOT AVAILABLE in Annex 1, regardless of LUMIX PRO Membership Level or any visitation to any another participating country. Best efforts will be made to provide the services provided for under Clause 6 so far as is reasonably practical and can be reasonably expected.
6.17
If the User is loaned equipment while away from his “Home” Territory, it is the responsibility of the member to ensure that the equipment is returned to the country from which the loan was provided. If the equipment is returned to the “Home” Territory, then Panasonic reserve the right to charge the member for any additional shipping costs and duties that maybe payable.
7.

Use of Repair and Maintenance Services

7.1
To utilise the LUMIX PRO Membership repair or maintenance services simply send Your Qualifying Equipment to Your local LUMIX PRO authorised service facility enclosing a completed LUMIX PRO Repair Form detailing Your request, Your name, LUMIX PRO Membership number and LUMIX PRO Membership status and affixing a LUMIX PRO identification sticker (issued to You on registration) in a clearly visible position on the outside packaging of any item You send. In the case of warranty repair, please include a copy of the warranty documentation and proof of purchase.
7.2
Only Panasonic and those service facilities authorised by Panasonic to perform LUMIX PRO can be used for repairs under Your LUMIX PRO Membership.
7.3
Repair Services are those repairs that are not covered by warranty repairs and are not covered by the maintenance services covered in Clause 7.4
7.4
LUMIX PRO Users with PLATINUM LUMIX PRO Membership Level can receive repair services in a “Visited” territory when available.
7.5
Repairs in “Visited” territories are not available on the lenses listed in Section 5.2, and listed as qualifying for RED, SILVER and GOLD LUMIX PRO Membership Levels.
7.6
Items listed as “Exception” within Section 5.2, and its sub-sections, will not be eligible for “Service” as per the standard Terms and Conditions of the LUMIX PRO programme.
7.7
If Your LUMIX PRO Membership entitles You to the loan of back-up equipment (see Clause 4 above) when having Your Qualifying Equipment repaired or serviced, Your local LUMIX or LUMIX PRO authorised service facility will contact You in the event that the Target Turnaround Time cannot be met in order to make arrangements directly.
7.8
All equipment loaned under this provision is provided strictly on the basis of Panasonic's standard loan terms provided with the loan equipment, which You must accept in order to receive the loan equipment if You request and accept a loan through Your LUMIX PRO Membership.
7.9
Loaned back-up equipment can be delivered to any address requested within the LUMIX PRO participating countries by arrangement with Your local facility and may also be available for collection on request.
7.10
It is Your obligation to return the loan equipment within 3 days of the return of Your own equipment to the address stipulated by Panasonic or the LUMIX PRO facility that supplied the back-up equipment (or as may be otherwise agreed with Panasonic in writing).
7.11
You must ensure that each and every item loaned, including accessories, is returned in the same condition as supplied and You are responsible for any loss, damage or theft of any equipment on loan to You and will be required to reimburse Panasonic for repair or replacement. You are advised to consider taking out suitable insurance to cover any equipment on loan to You.
7.12
Panasonic disclaims and excludes all liability in respect of any equipment loaned to You to the maximum extent permitted by law.

As part of the LUMIX PRO Services Panasonic provides a Hotline for Your Qualifying Equipment in United Kingdom which offers priority customer support (Technical, Repair (coordinate details of "Pick-up Service")) by trained personnel.

The Hotline will be available Monday – Friday (check the list below for local availability). Local tariffs apply. Mobile phone rates can be higher. Operating times are subject to change.

9.

Health Check

9.1

Health Check from LUMIX PRO includes Sensor Clean, EVF clean, plus external check and clean as required. Panasonic will also provide an advisory notice should additional work be carried out that is not covered under the standard warranty programme or as part of Your LUMIX PRO Membership package. Annual Health Check is available as part of the specific levels of LUMIX PRO Membership Levels as outlined in Clause 10. You can contact the Hotline or go to https://lumixpro.panasonic.com/uk/ to arrange for the Pick-up and Return Service to carry out the Annual Health Check.

9.2
Lens Calibration is available as part of specific levels of LUMIX PRO Membership Levels as outlined in Clause 10. Panasonic provides a "Lens Focal Point Calibration" Service for a limited number of lenses, please check at https://lumixpro.panasonic.com/uk/ for the current list of lenses that can be calibrated. You can contact the Hotline Or go to https://lumixpro.panasonic.com/uk/ to arrange for the Pick-up and Return Service to carry out the Calibration service.
9.3
The Health Check and Calibration service will be carried out as per the guidelines set out as per Your level of members, as outlined in Clause 10, calculated from the time the authorised service centre has received the Product until the Product has been designated as ready for the carrier to pick up the product for return to You.
9.4
The Health Check is limited to the number of maintenance service process within Your LUMIX PRO Membership Period, as outlined in Clause 10.
9.5

Health checks are only available in Your “Home” territory.

10.

Firmware Update

10.1
As Part of Your Annual Health Check, Panasonic will carry out all required Firmware Updates, as per the turnaround times, relevant to Your LUMIX PRO Membership Level. In case the Firmware Update cannot be completed within the specified timeframe, Panasonic will contact You immediately to arrange either an extension or offer a loan unit, if available as part of Your LUMIX PRO Membership package.
10.2
The period in Clause 10.1 above will be calculated on Working Days only and from the time the authorized service centre has received the Product until the Product has been picked up by the carrier for return to You.

11.

Payment and additional costs

11.1
Payment is made in GBP.
11.2
Any payment charges to the payment service provider, card issuer and the like may occur and are beyond the control of Panasonic.
12.

Cancellation of Membership

12.1
The Membership Period for the Red LUMIX PRO Membership Level is unlimited. You can cancel the Red Membership Period by deleting Your LUMIX PRO account at any time.
12.2
The Membership Period for Silver, Gold and Platinum Membership Levels is one year from the date of conclusion of contract for Your LUMIX PRO Membership. You are entitled to cancel Your Silver, Gold and Platinum LUMIX PRO Membership at any time to the end of your Membership Period at least with one month notice before expiry of Your current contract. You can do so by contacting the LUMIX PRO Membership admin team in writing or by email, using the email addresses shopkeeper@eu.panasonic.com. The LUMIX PRO Membership will end at the expiration date of the Membership Period and You Membership Level will be downgraded to RED Membership Level.
12.3
Both Parties have the right to terminate the LUMIX PRO Membership for cause without observing a notice period. Termination of the LUMIX PRO Membership contract without notice for cause may be declared if one of the Parties breaches a provision of this LUMIX PRO Membership contract and the respective other contracting Party fails to remedy the breach after a warning within the set remedy period.
12.4
In the case, that the User terminates his LUMIX PRO Membership contract for cause, Panasonic will return any membership fees, partially or in full, that have been paid by the User attributable to the remainder of the current Membership Period which has not yet elapsed.
12.5
Your LUMIX PRO Membership and account will be deemed void and may be disabled or terminated immediately by Panasonic if Your LUMIX PRO Membership has been obtained under a false claim or due to fraudulent actions or activity.
12.6
Upon deletion of Your Red LUMIX PRO Membership Level account Your personal data erased within 24 hours. Should you also have a My Panasonic account, where you have registered other Panasonic products than LUMIX PRO products, the personal data and product data stored in Your My Panasonic account will not be affected by the deletion of Your LUMIX PRO account. Upon cancellation of your Membership, and consequential deletion, You will no longer be entitled to any of the benefits offered through LUMIX PRO Membership and will no longer be able to access your LUMIX PRO account.
12.7
Deletion is irreversible and it is not possible to reinstate a LUMIX PRO Membership once it has been cancelled. However, if You wish to re-join at any time, You can simply register as a new member as detailed above.
13.

Withdrawal Right

The following right of withdrawal shall apply to LUMIX PRO Membership subject to a charge:

You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from conclusion of contract.

To exercise the right of withdrawal, you must inform Us at Panasonic UK, Maxis 2, Western Road, Bracknell, Berkshire, RG12 1RT, United Kingdom, telephone number 0344 844 3899, email shopkeeper@eu.panasonic.com of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the attached model withdrawal form, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for You to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
EFFECTS OF WITHDRAWAL
If you withdraw from this contract, we shall reimburse to You all payments received from You, including the costs of delivery (with the exception of the supplementary costs resulting from Your choice of a type of delivery other than the least expensive type of standard delivery offered by Us) without undue delay and in any event not later than 14 days from the day on which We are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as You used for the initial transaction, unless You have expressly agreed otherwise; in any event, You will not incur any fees as a result of such reimbursement.

Upon withdrawal Your allocated LUMIX PRO Membership Level will be downgraded to Red LUMIX PRO Membership Level.

14.

Liability

14.1
We are liable for intent and gross negligence. Further, we are liable for the negligent breach of obligations, whose fulfillment is essential to enable the ordinary implementation of the contract, whose breach jeopardizes the achievement of the purpose of the contract and on whose compliance you as a customer may rely on regularly. In the last-mentioned case, we are only liable for the foreseeable, reasonable and direct contractual damage. The same applies to breaches of duty by our vicarious agents.
14.2
The abovementioned exclusions of liability do not apply in case of death or personal injury, if a defect was fraudulently concealed or a guarantee for the quality of the services was assumed. The liability pursuant to the product liability law remains unaffected.
14.3
Panasonic shall not be held liable for failure or delay in the performance of any obligation under these Terms caused by any unforeseen circumstances outside its reasonable control, such serious events being in particular, force majeure, epidemics, pandemics, riots, fire, flood, war or terrorist conflicts, industrial dispute, government action, or regulations, or failure or delay on the part of Panasonic suppliers or sub-contractors, which Panasonic is not responsible for (e.g. courier). Such an event shall release You and Panasonic from performance obligations for the duration of the disruption and to the extent of its effect, even if Panasonic or you should be in default. An automatic termination of the LUMIX PRO Membership contract is not associated with this. You and Panasonic are obliged to notify each other of such an impediment and to adjust your and Panasonic obligations to the changed circumstances in good faith.
15.

Personal Information

15.1
All Personal Data collected by Us (title, last name, first name, address, date of birth, email address) will be in accordance with our Privacy Policy and with applicable legislation, including the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act. Data is collected with the purpose of enabling Panasonic to perform the LUMIX PRO, to improve Panasonic’s product offering, and to collect and process payment for the LUMIX PRO Membership. 15.2
Information about You and Your membership may be used by Panasonic to contact You, to review Your use of the LUMIX PRO services and/or to review, develop and improve our services, products and offers and/or for internal market research and statistical analysis.
15.3
We may need to transfer Your Personal Information to third parties, in particular Panasonic Affiliates, to provide the LUMIX PRO You require or any other services/assistance You request. All Panasonic Affiliates are required to follow the privacy practices set forth in our Global Privacy Notice https://www.panasonic.com/global/privacy-policy.html.
16.

Modification to the Terms

16.1
The LUMIX PRO Membership contract between Panasonic and the User includes the Terms that were in effect at the time of the User's ordering of a registration to LUMIX PRO Membership as amended in accordance with the provisions of this Clause 16. Panasonic recommends that the User saves or prints a copy of the Terms when concluding the LUMIX PRO Membership contract.
16.2
Panasonic may from time to time make additions or amendments to the Terms, including, but not limited to Qualifying Equipment, Membership Levels and LUMIX PRO, for one or more of the reasons set out in Clause 16.4 provided that the procedure in Clause 16.3 is complied with. Panasonic may, however, make minor changes to the Terms or changes solely for the benefit of the User, without regard to Clauses 16.3-16.4. These changes will be announced on the Website when they take effect.
16.3
Panasonic will notify the User by email of such additions or changes to the Terms, and unless the User notifies Panasonic within 30 days of the date the email was sent that the User does not accept such changed terms, the changed Terms will apply from the date set out in Panasonic’s email. In case of the User’s non-acceptance, the contract for LUMIX PRO Membership will terminate as from the day before the changes were announced to take effect.
16.4
Additions or changes to the Terms can be made for the following reasons but this is not an exhaustive list of why Panasonic may change the Terms:
(a)
If Panasonic has reasonable cause to make the change for legal, regulatory or administrative reasons;
(b)
to reflect changes that Panasonic makes to the systems and infrastructure that are used in connection with the Service;
(c)
to improve the LUMIX PRO or to offer User new service features, or to remove one or more service features, subject to a reasonable reduction of the LUMIX PRO Membership Level fee or other compensation if applicable;
(d)
to reflect organisational changes within Panasonic or Panasonic Affiliates; or
(e)
to adjust prices or services to a reasonable degree.
17.

Assignment

17.1
Panasonic may assign or hand over the whole or a part of its rights and obligations under the LUMIX PRO Membership contract to a third party after giving prior notice to the User in accordance with Section 16.2-16.3.
17.2
The User may not assign the User’s right to the LUMIX PRO Membership or other rights and obligations under the LUMIX PRO Membership contract without prior written approval from Panasonic. Such approval may not to be unreasonably withheld by Panasonic.
18.

Third party links and services

18.1
The Website may contain links to third-party websites for convenience only through which the User exits the Website. These linked sites are not under the control of Panasonic, and Panasonic is not responsible for the content of any such site or any link contained in such site.
18.2
Panasonic may commission third parties with carrying out of the LUMIX PRO. Third party services are subject to the terms and conditions of the third parties. The services provided by third parties are not under control of Panasonic and Panasonic does not assume any liability, except for mandatory liability under applicable law, for third party services.
18.3
Any fault that has been identified as a result of a fault with a third party product, such as, but not limited to Non-Panasonic memory cards, flash units, third party batteries or non-standard Panasonic cables will not be covered by the standard conditions of the LUMIX PRO or for repairs undertaken with the turnaround times for the LUMIX PRO Membership Level of the member.
19.

Miscellaneous

19.1
The exclusive language available for the LUMIX PRO Membership shall be English. Translations of these Terms to other languages are for information only. In the event of contradictions between the English text and the translations, the English text shall prevail.
19.2
The laws of the England and Wales shall apply and the English Courts shall have exclusive jurisdiction over any matters or disputes arising out or of in connection with the LUMIX PRO Membership and these terms. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
19.3
In addition to the benefits set out above, Panasonic may make additional benefits or promotional offers available to LUMIX PRO Members based on membership status and level of use of LUMIX PRO member services including (but in not limited to): repair services, loan equipment; shipping & delivery promotions; surveys and Panasonic and third party product offers.
19.4
PLEASE NOTE LUMIX PRO MEMBERSHIP DOES NOT AFFECT NOR EXTEND YOUR RIGHTS UNDER ANY PANASONIC COMMERCIAL WARRANTY PROVIDED WITH YOUR PRODUCT AT THE TIME OF PURCHASE OR YOUR STATUTORY LEGAL RIGHTS.
19.5
The Pan-European Standard Warranty provides cover for products purchased inside the EEA. The Limited Worldwide Warranty may apply if the product is purchased outside of the EEA but in a participating country. 19.6
All queries relating to LUMIX PRO Membership should be addressed to the LUMIX PRO Membership admin team via Your local email address as per Clause 3. All complaints should also be addressed to the LUMIX PRO Membership admin team via email.
19.7
The European Commission provides a platform for online dispute resolution under http://ec.europa.eu/consumers/odr/.
Our respective e-mail address is set out in clause 3.4.
19.8
Should individual provisions of these Terms and the LUMIX PRO Membership contract be invalid, this shall not affect the validity of the Terms and the LUMIX PRO Membership contract as a whole.

ANNEX 1 - PARTICIPATING COUNTRIES

Countries that are NOT included on the list here will not qualify for any LUMIX PRO Membership benefits.

The list of countries and the LUMIX PRO repair & loan service availability of the countries will be updated from time to time. Panasonic reserves the right to change the list of countries and the LUMIX PRO repair & loan service availability of the countries at any time without notice. LUMIX PRO members residing in any country not listed in this table will not receive the LUMIX PRO repair and loan benefits. You should periodically review the list of countries and the LUMIX PRO repair & loan service availability of the countries.
